1. Introduction
Welcome to YogX (“Company,” “we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your use of the YogX mobile application, website, and in-studio services (collectively, the “Services”). By accessing or using our Services, you (“User,” “you,” “your”) agree to be bound by these Terms. If you do not agree, please do not use our Services.

2. Health Disclaimer and Acknowledgment of Risk
Physical Activity Warning: Yoga involves physical exertion, stretching, and meditation, which carry inherent risks of injury, including but not limited to muscle strains, sprains, fractures, cardiovascular stress, and accidents.
Medical Clearance: You represent that you are in good physical health and have no medical condition that would prevent your participation in yoga exercises. You are advised to consult a physician before commencing any new exercise regimen.
No Medical Advice: YogX provides instruction in yoga, breathing techniques, and meditation. This is not a substitute for professional medical advice, diagnosis, or treatment.
Assumption of Risk: You voluntarily assume full responsibility for all risks of injury, loss, or damage arising out of your participation in any YogX class, whether online or in-studio.

3. User Accounts
Registration: To access certain features, you must create an account. You agree to provide accurate, current, and complete information.
Confidentiality: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
Age Restriction: You must be at least 18 years old to create an account. If you are between 13 and 17, you may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms. We do not knowingly collect data from children under 13.

4. Classes, Bookings, and Cancellations
Scheduling: Class schedules are subject to change or cancellation at the discretion of YogX.
Cancellation Policy:

  • In-Studio: You must cancel your reservation at least [e.g., 4 hours] before the class start time to avoid a late cancellation fee or loss of class credit.
  • Online/On-Demand: Cancellation policies for digital content are governed by the refund policy below.

5. Fees, Payments, and Refunds

Refund Policy:

  • Class passes and memberships are generally non-refundable and non-transferable.

6. Intellectual Property

License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Content for your personal, non-commercial use only.
Prohibited Use: You may not copy, distribute, modify, create derivative works of, publicly display, or commercially exploit the Content without our prior written consent.

7. Code of Conduct
Respect: You agree to treat instructors, staff, and fellow students with respect and courtesy. Harassment, abusive language, or disruptive behavior will result in immediate termination of your session and potential ban from the studio.
Photography: You may not record audio or video of in-studio classes without explicit permission from the instructor and management.
Hygiene: You agree to maintain personal hygiene and use the provided equipment respectfully.

8. Third-Party Links and Services
Our Services may contain links to third-party websites or services (e.g., payment processors, music streaming). We are not responsible for the content, privacy policies, or practices of any third-party services.

9. Termination
We reserve the right to suspend or terminate your account and access to the Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

10. Limitation of Liability
Disclaimer: THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” YOGX EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOGX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR USE OR INABILITY TO USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
Total Liability: IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification
You agree to defend, indemnify, and hold harmless YogX, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from:
(a) Your use of and access to the Service;
(b) Your violation of any term of these Terms;
(c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
(d) Any claim that you caused damage to a third party.

12. Governing Law and Dispute Resolution
Governing Law: These Terms shall be governed and construed in accordance with the laws of [Insert State/Country], without regard to its conflict of law provisions.
